These Terms and Conditions (“Terms”) govern your access to and use of app.bidpost.io (the “Platform”), operated by BIDPOST LTD (“we”, “us”, “our”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1. Definitions

“Customer” – a user who requests bids or manages projects on the Platform without paying fees.
“Vendor” – a user or business that subscribes to the Platform and pays fees to access leads and tools.
“Services” – the SaaS tools provided by app.bidpost.io, including project management, bid management, cost tracking, scheduling, and lead generation.
“User Content” – all content submitted by users, including bids, project details, pricing, documents, and messages.

2. Eligibility

You must be at least 18 years old and capable of forming a legally binding contract under UK law to use the Platform.

If you are using the Platform on behalf of a business, you confirm that you have authority to bind that business to these Terms.

3. Account Registration

To access certain features, you must create an account.

You agree to:

Provide accurate and complete information
Keep login credentials secure
Notify us promptly of any unauthorised access

You are responsible for all activity that occurs under your account.

4. Description of Services

app.bidpost.io provides cloud-based software that enables:

Project and workflow management
Bid and tender management
Cost tracking and scheduling
Lead generation for Vendors

We are not a party to any agreement entered into between Customers and Vendors. We do not guarantee that:

Vendors will win work
Customers will receive bids
Any project will proceed or be completed

5. Customer Use (Free Access)

Customers may use the Platform to:

Post projects or bid requests
Review bids from Vendors
Manage projects

Customer access is currently free, but we reserve the right to introduce paid features in the future with notice.

6. Vendor Accounts, Directory Listings, Subscriptions and Fees

Vendors may create an account on the Platform and list their company in the app.bidpost.io vendor directory free of charge. A lead generation fee, where applicable, for access to bid opportunities.

Access to advanced tools and features, including but not limited to cost tracking, scheduling, and enhanced project management functionality, is available only through a paid subscription known as BIDPOST Pro. 

Vendors who subscribe to BIDPOST Pro agree to pay:

A subscription fee for access to paid tools and features; and
A lead generation fee, where applicable, for access to bid opportunities.

Key terms:

All applicable fees are displayed prior to purchase
Fees are exclusive of VAT unless stated otherwise
Subscription fees and lead generation fees are non-refundable, except where required by law
We reserve the right to amend pricing with reasonable notice

Subscription Cancellation:
Vendors may cancel their BIDPOST Pro subscription at any time through their account settings. Cancellation will take effect at the end of the current billing period, and no further charges will be applied after that date.

Failure to pay applicable fees may result in suspension or termination of access to paid features.

Marketing Use of Vendor Assets:
By using the Platform, Vendors grant us a non-exclusive, worldwide, royalty-free licence to use their company name, logo, and any provided branding or imagery for the purpose of operating, promoting, and marketing the Platform, including on our website and promotional materials.

7. Subscription Renewal and Cancellation

BIDPOST Pro subscriptions are billed on a recurring basis as specified at the time of purchase.

Unless cancelled, subscriptions will automatically renew at the end of each billing period.

Vendors may cancel their subscription at any time through their account settings. Cancellation:

Prevents future billing
Takes effect at the end of the current billing period
Does not entitle the Vendor to a refund for unused time, except where required by law

We may suspend or terminate access to paid features if payment is unsuccessful or overdue.

8. No Guarantee of Leads or Work

We do not guarantee:

The number, quality, or suitability of leads
That bids will result in contracts
That Customers will engage with Vendors

Vendors use the Platform at their own commercial risk.

9. Vendor Directory Disclaimer

The vendor directory is provided for informational purposes only.

Inclusion in the directory does not constitute an endorsement, verification, or recommendation by app.bidpost.io
We do not assess, approve, or guarantee the quality, pricing, qualifications, or performance of any Vendor
Customers are responsible for carrying out their own due diligence before engaging a Vendor

We accept no liability for any loss or damage arising from reliance on directory listings.

10. User Content

You retain ownership of your User Content.

By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free licence to host, use, display, and process such content for the purpose of operating and improving the Services.

You confirm that:

You have the right to submit the content
The content is accurate and lawful
The content does not infringe third-party rights

11. Prohibited Use

You must not:

Post false, misleading, or fraudulent bids or projects
Circumvent fees or payment systems
Scrape, copy, or reverse-engineer the Platform
Upload malicious code or harmful material
Use the Platform in breach of UK law

We reserve the right to remove content or suspend accounts without notice for violations.

12. Intellectual Property and Marketing Use

All intellectual property rights in the Platform, including software, source code, designs, branding, text, graphics, and documentation (excluding User Content), are owned by or licensed to us.

You may not copy, modify, distribute, or exploit any part of the Platform without prior written permission.

Vendors and Customers retain ownership of their respective User Content.

By using the Platform, Vendors grant us a non-exclusive, worldwide, royalty-free, transferable licence to use their company name, logo, trademarks, and any branding or imagery they provide for the purposes of:

Operating the Platform
Listing Vendors in the directory
Marketing, promoting, and advertising app.bidpost.io and its Services

This licence remains in effect for as long as the Vendor maintains an account on the Platform and for a reasonable period thereafter for marketing and archival purposes.

Nothing in these Terms transfers ownership of intellectual property from either party to the other.

13. Suspension and Termination

We may suspend or terminate access:

For breach of these Terms
For non-payment of fees
If required by law
If the Platform is discontinued

Termination does not affect accrued payment obligations.

14. Disclaimer

The Platform is provided “as is” and “as available.”

We make no warranties regarding:

Accuracy of bids, pricing, or project data
Vendor performance or Customer reliability
Continuous or error-free operation

Use of the Platform is at your own risk.

15. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for:

Loss of profits, revenue, or business
Loss of data or contracts
Indirect or consequential loss

Our total liability shall not exceed the fees paid by the Vendor in the 12 months preceding the claim.

Nothing in these Terms limits liability for death, personal injury, fraud, or any liability that cannot be excluded under UK law.

16. Indemnity

You agree to indemnify and hold us harmless from claims, losses, or damages arising from:

Your use of the Platform
Your User Content
Your breach of these Terms

17. Data Protection and Privacy

Use of the Platform is subject to our Privacy Policy, which complies with UK GDPR and explains how personal data is processed.

18. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on the Platform and take effect immediately. Continued use constitutes acceptance.

19. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction over any dispute.
